Just extraordinary how much shareholder value has been destroyed at psth by the argument featured in this litigation, first by the sec scuttling the umg deal and now by this lawsuit destroying the option value of the spac.

I’ve only skimmed the complaint but this strikes me as the type of shareholder lawsuit that doesn’t benefit shareholders one iota and might even harm them to the extent that it makes it more difficult for Ackman to get a deal done.

hah this is clever. the spac shareholder argues that bc the spac is an investment company and pershing is its adviser, all compensation to pershing from the spac violates the federal rules regarding adviser compensation

Hoping at some point to hear the always impressive @CohoCap's take on umg since he is both a psth and spot investor and his spot investment relied at least in part on the view that the platforms will enjoy increasing leverage vis-a-vis the labels.


Random bitcoin Q: Once all the Bitcoin is mined, what is the incentive to be a miner? The transaction fee? If so, does that fee adjust upwards to offset the lack of available new coins to be mined? If so, won't the system become less attractive over time from the user pov?


Serious question: Isn't the promise of common good constitutionalism at least slightly called into question by the fact that we can't even seem to agree that wearing a mask and social distancing during a deadly pandemic redounds to the common good?
